February 2020 Governance Update

DECEMBER 18, 2019

The Board of Directors met on December 18, 2019 via video conference. In attendance were Clara Chu (President-Elect); Brian Detlor (President-Elect); Ina Fourie (Treasurer); Emily Knox; Soo Young Rieh; Ana Maria Tammaro; Jim Andrews (SIG Cabinet Director); Michael Olsson (Chapter Cabinet Director); Lydia Middleton (Executive Director); and Steve Hardin (Parliamentarian). Guests were Terrence Curtiss, Director of Membership).

Consent Agenda

The following items were included in the Consent Agenda which was approved.

President’s Update
ASIS&T President Clara Chu reported on the following items:

  • The Governance Committee is nearly formed. They will be tasked with looking at the way that SIG and Chapter leadership is elected and the possibility of making the Director term a 3-year vs. 1-year term
  • The D&I Task Force is nearly formed. They will be tasked with reviewing the recommendations from the 2016 luncheon and making recommendations on further improvements that ASIS&T can make to address the issue.
  • The first ASIS&T Hour was held on 12-11-19. There were 18 people on the call and they raised interesting issues that will be addressed in future Board meetings and ASIS&T Hours.

Executive Director’s Report
Lydia Middleton provided an update on various operational issues. She noted that there has been a downturn in membership which was anticipated due to the fact that many members only renew their membership in years when they plan to attend the Annual Meeting. Because the 2019 meeting was held in Australia, many members who would typically attend the meeting did not.

Strategic Planning Update
Brian Detlor provided an update on the strategic planning process, noting that he intends to have a plan ready for Board review by March.

SIG Cabinet Update
Jim Andrews reported that the SIG Cabinet met in Melbourne and addressed various issues including the need for SIGs to have more opportunities to present at the Annual Meeting.

Chapter Assembly Update
Michael Olsson reported that the primary activity underway is to vet the Chapter Restructuring Proposal which will go out to the membership this week. He reported that the Asia Pacific Regional Meeting in Wuhan is in the planning stages, and he is also looking at other regional meeting possibilities.

Board Self-Evaluation
Clara Chu provided a synopsis of the results of the Board Self-Evaluation.


JANUARY 15, 2020

The Board of Directors met on January 15, 2020 via video conference. In attendance were Clara Chu (President-Elect); Brian Detlor (President-Elect); Ina Fourie (Treasurer); Elaine Toms (Past President); Emily Knox; Agnes Mainka; Soo Young Rieh; Jim Andrews (SIG Cabinet Director); Michael Olsson (Chapter Cabinet Director); Lydia Middleton (Executive Director); and Steve Hardin (Parliamentarian). Guests were Naonnda Scoggins, Accounting & Operations Manager.

 President’s Update
ASIS&T President Clara Chu reported on the following items:

  • Progress of planning for the 2020 Annual Meeting and potential keynote speakers
  • Board giving request
  • Upcoming ASIS&T meeting in Europe that she will attend

Executive Director’s Report
Lydia Middleton reported on various operational issues.

SIG Cabinet Update
James Andrews reported that the SIG Cabinet Steering Committee had met. They discussed how to encourage SIGs to increase the webinars they offer and to use the resources available to them.

Chapter Assembly Update
Michael Olsson reported that the Asia Pacific chapter is moving forward with plans for the meeting in Wuhan in June and he is working with them on how to manage the cost of the meeting. He noted that there has been very little feedback on the chapter restructure proposal.

Strategic Planning Update & Review of Dashboard
Brian Detlor reviewed the points made by members during the first virtual-meeting on the topic of strategic planning. A second meetup will be held in February. He also shared a proposed vision and mission statement with the Board which provided their feedback. The Board then reviewed the status of the existing strategic plan which can be found here.
