Governance Update, September 2022

The Board of Directors met on August 8, 2022 via video conference. In attendance were Naresh Agarwal, PhD (President);  Abebe Rorissa, PhD (President-Elect); Joan Bartlett, PhD; Maria Bonn, PhD; Tina Du, PhD, Anna Maria Tammaro, PhD; Lydia Middleton, MBA, CAE (Executive Director); and Chris Cunningham, PhD (Parliamentarian). Guest in attendance: Deanna Hall, Curator; Aminta Dawson, Administrative Assistant.

The Board discussed the following issues:

History Committee
The History Committee has produced a document on the history of ASIS&T in its first 85 years. This will replace the current content on the ASIS&T Website.

Membership Committee
The Membership Committee recommended a 2-year cap on free membership for Tier 2 members. After two years, Tier 2 membesd will be charged $25 for Professional, $15 for Early Career, and $5 for Student members. Scholarships will be available for people who can’t pay their dues.

Professional Development Committee
The Board agreed to waive the requirement that the PD Committee develop unique podcasts in favor of a plan to curate the content on the ASIS&T website and other content developed by members to create a more meaningful collection of resources on the ASIS&T Website.

Board Self-Assessment
The Board reviewed the Board self assessment instrument and approved it.

Annual Meeting
Lydia recommends that the Annual Meeting be held in London in 2023. The Board reviewed a proposal to move to a two-year term for the Annual Meeting Program Committee which was approved.

Naresh Agarwal reported on the following:

Executive Director's Report
Lydia Middleton reported on the following:

  • Board Elections
  • Bylaws Changes
  • Audit
  • FY22 Year End Financials

President-Elect Report
Abebe Rorissa reporeted that the new committee rosters have been completed. Information on committee appointments is available elsewhere in this Inside ASIS&T.

Chapter Assembly Report
The Asia Pacific Chapter is planning a chapter conference in December.

  • July 2022 Merrill Lynch Statement
  • New Auditor Proposal

The Consent Agenda was approved.
